These Terms of Service ("Terms") govern your access to and use of the billing.io platform, APIs, dashboard, SDKs, and related services (collectively, the "Services") provided by billing.io ("billing.io," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

To use our Services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

You must create an account to access most features of our Services. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials, API keys, and secret keys. You are solely responsible for all activity that occurs under your account.

You must notify us immediately at security@billing.io if you suspect any unauthorized access to or use of your account.

3. Description of Services

billing.io provides cryptocurrency payment processing infrastructure that enables businesses to accept digital asset payments from their customers. Our Services include hosted checkout pages, embeddable payment components, APIs, webhooks, and a merchant dashboard. We facilitate the receipt of cryptocurrency payments on your behalf and settlement to your designated wallet address.

billing.io is a non-custodial payment processor. We do not hold, store, or have control over your cryptocurrency funds. Payments are settled directly to the wallet address you configure.

4. Acceptable Use

You agree to use the Services only for lawful purposes. You may not use the Services to:

  • Violate any applicable local, national, or international law or regulation
  • Engage in money laundering, terrorist financing, or sanctions evasion
  • Process payments for illegal goods, services, or activities
  • Facilitate fraud, scams, phishing, or deceptive practices
  • Distribute malware, illegal content, or harmful materials
  • Infringe on the intellectual property rights of others
  • Interfere with, disrupt, or overload the Services or their infrastructure
  • Attempt to gain unauthorized access to any part of the Services
  • Resell or redistribute the Services without our written consent

We reserve the right to determine, in our sole discretion, whether any use of the Services violates these Terms.

5. Fees and Payment

billing.io charges transaction fees for payment processing as described on our pricing page. Fees are deducted automatically from each transaction at the time of settlement. We reserve the right to change our fee structure with reasonable prior notice. Continued use of the Services after fee changes constitutes acceptance of the new fees.

6. Settlement

Cryptocurrency payments processed through billing.io are settled to the wallet address you designate in your account settings. Settlement occurs according to the timelines specified in your account configuration. You are solely responsible for ensuring the accuracy of your wallet address. We are not liable for funds sent to an incorrect address provided by you.

7. Compliance and Verification

You agree to comply with all applicable laws and regulations, including anti-money laundering (AML) and know-your-customer (KYC) requirements. We may request additional information or documentation to verify your identity, business, or the nature of your transactions. Failure to provide requested information may result in suspension or termination of your account.

8. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that:

  • You have violated these Terms or any applicable law
  • Your account is associated with fraudulent or suspicious activity
  • Continued provision of Services to you poses a risk to billing.io, its users, or third parties
  • We are required to do so by law or regulation

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will cease immediately. Any pending transactions at the time of termination will be processed in accordance with these Terms.

9. Intellectual Property

The Services, including all software, APIs, documentation, designs, trademarks, and content, are owned by billing.io and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You may not copy, modify, distribute, or reverse-engineer any part of the Services.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, or secure. Cryptocurrency markets are volatile and subject to rapid price fluctuations. We are not responsible for any losses arising from market volatility, blockchain network delays, or failed transactions due to network conditions.

11. Limitation of Liability

To the maximum extent permitted by law, billing.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total fees paid by you to billing.io in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless billing.io, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

13. Modifications to Terms

We may update these Terms from time to time. Changes will be reflected by updating the "Last updated" date at the top of this page. We will notify you of material changes via email or through the Services. Continued use of the Services after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
